The Hidden Opportunities in Small Business Acquisitions
For years, some buyers have viewed smaller businesses as more challenging acquisitions. Concerns about owner dependence, informal systems, limited customer bases, and incomplete documentation can make a smaller company seem riskier than a larger, more established business. But those same characteristics can also represent opportunities for a new owner.
Turning Concerns Into Opportunities
A business that relies heavily on its owner, for example, may have significant room to grow once responsibilities are delegated and systems are put in place. An informal management structure can be strengthened with clearly defined roles, documented procedures, and better operational planning. Even basic improvements to bookkeeping, reporting, technology, and internal processes can provide a new owner with better visibility and a stronger foundation for growth.
Customer concentration can be another concern. If a small number of customers account for a substantial portion of revenue, a buyer may worry about what happens if one relationship is lost. At the same time, strong relationships with those customers can be an important asset. A thoughtful transition plan, introductions from the seller, and thorough documentation of customer and supplier relationships can help preserve that goodwill.
Look Beyond the Perceived Weaknesses
Smaller businesses can also offer buyers an opportunity to acquire an established operation at a more accessible valuation and then improve it through additional investment, better systems, expanded marketing, new products or services, or other strategic changes. What matters is understanding both the risks and the potential.
For sellers, this is a good reminder that preparing a business for sale isn’t just about presenting its strengths. Identifying areas that may concern a buyer and addressing what can reasonably be improved can make the company easier to understand and transition.
Whether you’re buying or selling, an experienced business broker can help identify the issues that may affect a transaction and put them into the proper perspective. A perceived weakness doesn’t necessarily make a business less valuable. Sometimes, it points directly to where the next owner can create value.
